Along with my colleagues Brad Kuhn, Ben Rubin, and Katherine Contreras, I'm here in Hartford at the IRWA Annual Education Conference.  It's been an interesting few days as we discuss eminent domain issues in the shadow of New London, Connecticut, battle ground of the infamous Kelo decision.

This week marks the nine-year anniversary of the Kelo v. City of New London decision.  Since I've been practicing as an eminent domain attorney, Kelo is unquestionably the most well-known and stirring court opinion, creating widespread reform to the use of eminent domain across the country -- even on the opposite coast in California.  Last time I checked, about 45 states had passed some sort of eminent domain reform in response to the Kelo decision.

The International Right of Way Association's (IRWA) International Education Conference in Seattle has just wrapped up, and boy was it a great event.  Over 1,200 right of way professionals from across the United States and Canada (along with some visitors from Japan, Uganda, Saudi Arabia, Thailand, and the UK) all in one location for four days.  What could be better?  If you weren't able to make it, let me tell you that Alaska and Canada -- two chapters vying for hosting the 2017 event -- sure know how to have a good time.

One of the trickiest circumstances to deal with in an eminent domain case occurs when the property being condemned suffers from a contamination issue.  This presents a number of thorny issues and, quite frankly, is an area of law which is shockingly undeveloped in most jurisdictions.

Next week, Chapter 67 of the IRWA (Orange County) is holding its annual Past Presidents' lunch.   The lunch will feature speaker Randall S. Stamen, an International Society of Arboriculture Certified Arborist -- and an attorney.  In case the really long title is slowing you down, I think that means he is a tree expert and, in particular for the IRWA's purposes, that he has expertise in dealing with relocation and valuation of trees impacted by eminent domain actions.

Today I attended the latest IRWA Tri-Chapter Installation Lunch for Chapters 1 (Los Angeles), 57 (Inland Empire), and 67 (Orange County).  This year, my home chapter, Chapter 67, hosted the event, which was held at the Nixon Presidential Library and Museum.  Despite the poor economy, 165 of the finest right-of-way professionals in Southern California showed up, and it was -- as always -- more a holiday celebration lunch than a formal meeting.

This is the question John G. Ellis, MAI addressed at the IRWA Chapter 1 Fall Seminar last Tuesday. Mr. Ellis divided his presentation into four distinct questions:

  1. What is the current state of the market;
  2. How did we get to where we are now;
  3. What are the trends looking forward; and
  4. Have we hit bottom yet?

Yesterday's IRWA Chapter 1 seminar in Los Angeles was a great success, with an outstanding panel of speakers.  The morning started with an informative presentation by Dave Guder of Southern California Edison about the Tehachapi Renewable Transmission Project and renewable energy sources in general. 

The liveliest discussion, however, centered around a narrow issue that triggered some surprisingly animated responses.  The issue involved a condemning agency's use of one appraiser for the initial eminent domain offer and deposit of probable compensation, and another appraiser as the trial appraiser.  More specifically, the discussion focused on whether agencies should be allowed to use this tactic, and whether use of a second appraiser should insulate the agency's first appraiser/appraisal from discovery -- and, ultimately, from admission at the trial on compensation. 

While both "sides" articulated good points, in my opinion, the discussion missed a couple of important things.  First, from an agency perspective, current "best practices" involve using a different appraiser for the trial than the agency used for the offer and deposit in almost every case.  The law allows this, and doing so renders the initial appraisal inadmissible at the trial on compensation. 

No reason exists for an agency to expose its initial appraisal to cross examination, when the trial appraisal will almost always be different.  The mere passage of time, along with the litigation discovery process, will generate information that warrants changes in the appraisal, and a talented landowner lawyer will be able to exploit any such changes at trial, even if the changes are easily explainable -- and even if the changes do not change the appraiser's ultimate conclusion of value.  The agency should not put itself in the position of defending both its trial appraisal and an out of date, initial appraisal. 

Second, regardless of the agency's plans for its trial appraisal, it is not at all clear that the initial appraisal can be insulated from discovery.  The new rules on prejudgment possession [pdf] create the very real possibility of judicial scrutiny of the offer process which, by necessity, may result in scrutiny of the agency's initial appraisal. 

Thus, while that early appraisal can be rendered inadmissible in the trial on compensation issues by changing appraisers, appraisers would be well served to keep in mind that even those preliminary appraisals may be scrutinized if the landowner raises right-to-take challenges or fights an order of possession.  This risk that a poor initial appraisal may impact possession should provide agencies with ample incentive to do what they can to "get it right" the first time, even if they plan to switch to a different appraiser for trial.

There was an interesting discussion at the IRWA Chapter 57 seminar last Friday, and it’s one that I have seen play out many times in many contexts, so I thought it was worth a short discussion here. The issue was when the illegal gift of public funds doctrine comes into play in the context of an eminent domain case (the text appears in Article XVI, section 6 of the California Constitution). The concept is simple: The government cannot give away public funds to a private person or company. The eminent domain scenario is all too frequent: A proposed settlement is for more than the property’s appraised value, rendering the excess payment a potential illegal gift.

Such payments do not violate the rule. Based on well-established interpretations of the "no gifts" clause, a payment does not qualify as an illegal gift if the expenditure is for a "public purpose."  Thus, for example, where the property owner claims a massive amount of compensation, either in terms of fair market value, damages, or both, and the agency negotiates a settlement that is higher than its appraised value, but lower than the agency’s possible exposure, the public purpose is the settlement of a larger claim, creating an easily identifiable benefit.

Even in a case where the maximum realistic exposure might not account for the entire payment, it is unlikely the payment would qualify as an illegal gift. The settlement may avoid:

  1. A fight over possession, which could put the construction schedule at risk; or
  2. A nasty public relations battle that could jeopardize another badly needed project (as just two examples).

In the end, as long as the agency documents what it is doing and why, it is unlikely any gift of public funds argument would ever succeed in an eminent domain case (and I’m certainly not aware of any court decision striking down an eminent domain payment as an illegal gift).

The Inland Empire chapter of the International Right-of-Way Association is holding its 2009 Education Seminar and Fundraiser (Casino Night) on October 16, 2009, at the Eagle Glen Golf Course in Corona.  The event starts with lunch at 11:30 a.m. and goes through a raffle at the end of the casino night at 9:45 p.m.
